What is the expected time horizon for subscribers in WSGVF?The Fund typically seeks long-term capital appreciation with projected exits within three to five years. Although it is WSA‘s intention to work diligently to achieve this timetable, dependence upon market conditions and financial results attained by ventures operating within the portfolio may potentially dictate longer durations or extended timetables for exit.

What types of transactions will the Fund engage in?The Fund seeks to achieve profitable results by making capital growth and equity investments and/or provide debt financing to prospects deemed suitable by the Manager. Investments typically consist of equity purchases, providing structured credit facilities, and/or negotiating convertible debt with the companies it targets.

What are the areas of concentration for WSGVF?Due to Management’s many long-standing relationships across numerous industry sectors, WSGVF’s efforts seek to include, but not be limited to: Real Estate; Consumer Goods; Media and Entertainment; Food and Agricultural Technologies; as well as leading-edge technologies consisting of Sustainable Energy, Fintech; and Biotech. A focus on carefully chosen targets, coupled with tightly managed operational controls have been developed to position the Fund to pursue planned initiatives actively and quickly.

What parties are best suited to participate and benefit with WSA?Numerous parties may benefit by participating with WSA. These include, but are not limited to, companies, funds, endowments, foundations, single family offices (SFOs and MFOs), accredited investors and other select qualified individuals.

What criteria must be met to qualify and participate as an investor in the WS Global Ventures Funds?Investors will be required to make certain representations and warranties with respect to each purchaser’s status as an “Accredited Investor” and “Qualified Client” as defined by the Securities and Exchange Commission (SEC). - Accredited Investors are generally individuals with a net worth of more than $1,000,000 USD (excluding the value of their primary residence) or who meet certain income thresholds -- an individual with income in-excess-of $200,000 USD in each of the two most recent years or joint income with that person’s spouse in excess of $300,000 USD in each of those years and who has a reasonable expectation of reaching the same income level in the current year. Business entities, trusts, and family offices that typically choose to participate usually have assets exceeding $5,000,000 USD. - Qualified Clients are generally any natural person who, or company that, has at least $1,100,000 USD under the investment management of the Manager (immediately after participating in the investment) or that the Manager reasonably believes (a) has a net worth (together, in the case of a natural person with assets jointly held with a spouse) of more than $2,200,000, or (b) is a Qualified Purchaser as defined in section 2(a)(51)(A) of the Investment Company Act; or, (c) is a “knowledgeable employee” of the advisor.
